You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account.

6. Intellectual Property

6.1 Our IP

UptimeBridge retains ownership of our methodologies, templates, tools, and general knowledge developed through our consulting practice.

6.2 Client IP

Clients retain ownership of their data, configurations, and customizations developed specifically for their environment.

6.3 Open Source Software

We specialize in open-source solutions. All open-source software remains subject to their respective licenses and terms.

7. Data Protection and Confidentiality

As GDPR and ISO 27001 compliance specialists, we maintain the highest standards of data protection and confidentiality.

7.1 Confidentiality

  • All client information is treated as strictly confidential
  • We will not disclose client data to third parties without explicit consent
  • Confidentiality obligations survive termination of services
  • Separate NDAs may be executed for additional protection

7.2 Data Processing

  • Personal data processing complies with GDPR requirements
  • Data Processing Agreements (DPAs) established where required

  • • Our liability is limited to the fees paid for the specific service
  • • We are not liable for indirect, consequential, or punitive damages

  • • Client must implement appropriate backups and disaster recovery

We may terminate services in cases of:

  • Non-payment of fees
  • Violation of these Terms
  • Illegal or unethical client activities
  • Lack of necessary client cooperation

12. Governing Law and Disputes

These Terms are governed by the laws of Spain and the European Union. Disputes will be resolved through:

  1. Good faith negotiation
  2. Mediation (if negotiation fails)
  3. Arbitration or competent courts in Valencia, Spain

13. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.
